Do you mean in place upgrade from Windows 2003 to Windows 2008 server if Exchange 2007 is installed ? So there is no way to upgrade an Exchange 2007 Server based on Windows though if you're planning to remove Exchange 2003 at some point, having Exchange 2007 servers send/receive internet mail would make sense.
